1. Agreement to Terms

Welcome to JamKham (จำคำ), a service of Twin Palms Advisors Co., Ltd. These Terms of Use ("Terms") constitute a legally binding agreement between you and Twin Palms Advisors Co., Ltd., a company incorporated in Thailand with registered office at 52/9 หมู่ที่ 2 ต.วิชิต อ.เมืองภูเก็ต จ.ภูเก็ต 83000, Thailand ("Twin Palms," "JamKham," "we," "us," or "our"), governing your access to and use of the JamKham website, mobile application, and related services (collectively, the "Service").

Outside Thailand, paid access to the Read Thai course is sold through Paddle as our merchant of record. When you buy through Paddle, you enter into two related agreements: a purchase contract with Paddle (governed by Paddle's Buyer Terms and Refund Policy) and a licence to use the Read Thai course from Twin Palms Advisors Co., Ltd. under these Terms. If you purchase directly from Twin Palms within Thailand (paying in Thai baht), you buy the course from Twin Palms as merchant, and these Terms govern that purchase. See Section 9 for details.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We use product analytics and pseudonymized session recording, both in the app after you sign in and on our public demo and sign-up pages before an account exists, as described in the Privacy Policy. We disable this analytics and session recording for users we detect as located in the EEA or the UK; for other users it is not a condition of accepting these Terms and you can opt out at any time.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 16 years old and reside in the EEA or the UK, you must have parental or guardian consent to use the Service.

By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

The Service is operated from Thailand and is intended for users outside the European Economic Area (EEA) and the United Kingdom. It is not directed to, marketed to, or offered to residents of the EEA or the UK. By creating an account or using the Service, you represent and agree that you are located outside the EEA and the UK and that you will not access or use the Service from within the EEA or the UK. If we detect that you are located in the EEA or the UK, we disable product analytics and session recording for your use of the Service, as described in our Privacy Policy.

3. Description of Service

JamKham is a Thai language learning platform that provides:

  • Vocabulary extraction from user-uploaded PDF documents using AI/LLM technology
  • Spaced repetition flashcard training with multiple learning modes
  • Audio pronunciation support for Thai vocabulary
  • Progress tracking and learning analytics
  • Tone training, classifier drills, and other Thai-specific learning features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

4. Beta Program

Beta Program Notice

JamKham is currently in beta. The following terms apply specifically to beta users and will be updated upon general release.

4.1 Beta Nature of Service

The Service is in active development. By using JamKham during the beta period, you acknowledge and accept that:

  • The Service may contain bugs, errors, or incomplete features
  • Features may be added, modified, or removed without prior notice
  • Service availability may be interrupted for maintenance, updates, or technical issues
  • Your feedback and usage data help us improve the Service for all users
  • Data formats or structures may change, potentially affecting your learning history

4.2 Founding Member Pricing

Beta users who subscribe during the beta period receive "Founding Member" pricing:

  • Founding member pricing is available only during the beta period
  • Once subscribed at founding member rates, your pricing is locked in as long as your subscription remains active and in good standing
  • If you cancel your subscription and later resubscribe, you will be subject to the then-current pricing, which may be higher
  • Founding member status is tied to continuous subscription - lapses in payment or voluntary cancellation may forfeit this status

4.3 Beta Feedback

We encourage and appreciate your feedback during beta. By submitting feedback, suggestions, bug reports, or feature requests through our feedback mechanisms:

  • You grant us a non-exclusive, royalty-free, perpetual license to use, modify, and implement your suggestions
  • You acknowledge that we are under no obligation to implement any feedback
  • You will not receive compensation for feedback that is implemented
  • Your feedback may be shared internally for product development purposes

4.4 Transition from Beta to General Availability

When JamKham transitions from beta to general availability:

  • Your account and learning progress will be preserved
  • Founding member pricing continues for active subscriptions
  • We will notify you of any material changes to the Service or these Terms at least 30 days in advance
  • Some beta-specific features may be modified or discontinued

5. Account Registration

To access certain features of the Service, you must create an account. You may register using email and password or through social login providers (such as LINE). You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials (password or linked social account)
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach
  • Use a valid, non-disposable email address for account communications

When using social login (e.g., LINE Login), your account is linked to your social provider account. You are responsible for the security of your social provider account.

We reserve the right to suspend or terminate accounts that use disposable email addresses, provide false information, or violate these Terms.

6. Acceptable Use

You may use the Service only for lawful purposes and personal language learning. You agree to use the Service in accordance with these Terms and all applicable laws and regulations.

7. Prohibited Uses

You agree NOT to:

  • Use the Service for any commercial purpose without our prior written consent
  • Access the Service through automated means (bots, scrapers, scripts) except as explicitly permitted
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or other user accounts
  • Use the Service to transmit viruses, malware, or other harmful code
  • Impersonate any person or entity or falsely state your affiliation with any person or entity
  • Collect or harvest personal information of other users
  • Use the Service in any manner that could damage, disable, overburden, or impair our systems
  • Share, resell, or redistribute content or features from the Service without permission

8. Prohibited Content

When uploading PDFs or other content to the Service, you agree NOT to upload material that:

  • Infringes copyright, trademark, or other intellectual property rights of third parties
  • Contains explicit sexual content, pornography, or adult material
  • Promotes hate speech, discrimination, or violence against individuals or groups
  • Contains political propaganda or campaign materials
  • Includes personally identifiable information (PII) of other individuals without consent
  • Contains malware, viruses, or other harmful code
  • Violates any applicable law or regulation
  • Is defamatory, libelous, or fraudulent

We reserve the right to review, remove, or refuse any content at our sole discretion without prior notice. Violation of this policy may result in immediate account termination.

9. Subscriptions and Payments

JamKham offers both a free plan and paid access to the Read Thai course. You can use the free plan indefinitely, or purchase Read Thai as a recurring subscription or a one-time lifetime plan.

9.1 Plans and Pricing

We offer the following plans for the Read Thai course. The current price for each plan is confirmed before you complete payment at checkout. You can also compare our plans on the pricing page.

Read Thai Lifetime One-time payment Lifetime access to the Read Thai course, plus Founding Reader perks (price lock, badge, cheat sheet, and early access to new features). No recurring charge.

Prices are exclusive of taxes unless stated otherwise; any applicable taxes (such as VAT, GST, or sales tax) are calculated, charged, and remitted by Paddle, our merchant of record, based on your location, and will be shown at checkout. For purchases made directly from Twin Palms within Thailand, Twin Palms is the merchant and handles any applicable Thai taxes. We may change prices as described in Section 9.5 below. The plans and features available for purchase may change over time.

9.2 Payment Processing and Merchant of Record

For sales outside Thailand, purchases of the Read Thai course are made through Paddle, which acts as our merchant of record and authorised reseller. Depending on your location, your purchase contract is with Paddle.com Inc. (for buyers in the United States), Paddle.com (Canada) Ltd. (for buyers in Canada), or Paddle.com Market Ltd. (for buyers elsewhere). This means you buy the Read Thai course from Paddle, and Twin Palms Advisors Co., Ltd. licenses the course to you under these Terms.

For these sales outside Thailand, Paddle resells the Read Thai course through Tembusu Ventures LLC (a Delaware limited liability company, USA), which in turn contracts with Twin Palms Advisors Co., Ltd. This reseller chain does not change your relationship with Paddle as the merchant of record for your purchase, or your licence to use the course from Twin Palms under these Terms.

If you purchase directly from Twin Palms within Thailand and pay in Thai baht, Twin Palms is the seller and merchant for that purchase; Paddle and Tembusu are not involved, and the merchant-of-record arrangement described above does not apply.

For purchases made through Paddle, your purchase is subject to Paddle's Buyer Terms and Paddle's Refund Policy, in addition to these Terms. By completing Paddle's checkout, you authorize Paddle to charge your payment method for the amounts and on the schedule shown at checkout. Paddle is responsible for billing, payment, taxes, refunds, and chargebacks, and for these purchases Twin Palms does not collect or store your payment card details.

9.3 Recurring Subscriptions and Automatic Renewal

The Monthly and Annual Read Thai plans are recurring subscriptions that automatically renew. You are charged at the start of each billing period (each month or each year, depending on the plan you choose), and your subscription will automatically renew at the end of each period at the then-current price until you cancel. The applicable price and billing frequency are shown before you confirm your purchase.

Cancellation: Because Paddle is the merchant of record for your subscription, you cancel a recurring subscription through Paddle's buyer portal at paddle.net (you can reach it using the receipt or management link Paddle emails you after purchase). Cancellation stops future renewals; to avoid being charged for the next period, cancel before your renewal date. Cancellation takes effect at the end of your current billing period, and you retain access until then.

9.4 One-Time (Lifetime) Purchases

The Read Thai Lifetime plan is a single, one-time payment — it is not a subscription and does not automatically renew or recur. "Lifetime" means access for as long as we continue to offer the Read Thai course; it does not guarantee that the Service, or any specific feature, will be available indefinitely. We may modify or discontinue features of the Service over time, subject to the disclaimers and limitations in Sections 12 and 13.

The 14-day refund period described in Section 9.5 runs from the date of your Lifetime payment. Any statutory withdrawal or "cooling-off" rights for the Lifetime purchase (for example, the 14-day right available to consumers in the EEA, the UK, and Switzerland) are administered by Paddle under Paddle's Refund Policy. Refunds for the Lifetime plan are handled as described in Section 9.5.

9.5 Refunds and Price Changes

14-day refund period: Unless required by applicable law, all transactions are non-refundable and non-exchangeable, except as follows. For purchases made through Paddle (sales outside Thailand), you may request a refund within 14 days of your transaction date; requests are submitted to Paddle and reviewed on a case-by-case basis under Paddle's Refund Policy. On a Monthly or Annual plan, the period runs from your first payment; we do not separately offer it on renewal payments, except where Paddle's Refund Policy or the law of your country provides otherwise. To avoid a renewal charge, cancel before your renewal date as described in Section 9.3. Approved refunds are processed by Paddle using the same payment method where possible, and within 14 days of approval. Once a refund is issued, your paid access to the course ends. Full details are in our Refund Policy.

Immediate access: The Read Thai course is digital content that we make available to you immediately on purchase, so at checkout you expressly request immediate supply of the course. Any effect that has on a statutory cooling-off or withdrawal right is determined by Paddle's Refund Policy and by the law of your country, and is not affected by anything in these Terms.

Refunds: Because Paddle is the merchant of record, refunds and statutory withdrawal rights are handled by Paddle under Paddle's Refund Policy. Outside the 14-day refund period, transactions are non-refundable and non-exchangeable unless a refund is required by applicable law or granted at Paddle's sole discretion. Country-specific rules may also apply (for example, consumers in the EEA, UK, and Switzerland have a 14-day statutory right to withdraw from some digital content and service contracts and receive a full refund); which rules apply to you, and for how long, is set out in Paddle's Refund Policy and determined by the law of your country. For a technical or product defect, please contact us first at support@jamkham.com so we can try to resolve it; if we cannot, Paddle may issue a refund. Beyond the 14-day refund period, we do not separately refund partial or unused subscription periods except as Paddle's policy and applicable law require.

Direct purchases within Thailand: The cancellation, cooling-off, and refund processes described in this Section 9 (including Sections 9.3, 9.4, and 9.5) apply to purchases made through Paddle. If you purchase directly from Twin Palms within Thailand (paying in Thai baht), Paddle is not involved; Twin Palms handles cancellation, any statutory cooling-off rights, and refunds directly under applicable Thai law. To cancel or request a refund on such a purchase, contact us at support@jamkham.com.

Price Changes: We may change subscription prices with at least 30 days' notice to existing subscribers. Any price change takes effect on your next renewal after the notice period; if you do not agree, you may cancel before the change takes effect.

10. Account Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

  • Violation of these Terms
  • Uploading prohibited content
  • Engaging in fraudulent or illegal activity
  • Multiple failed login attempts or suspicious account activity
  • Non-payment of subscription fees
  • Any conduct that we deem harmful to the Service or other users

No Refunds for Violations: If your account is terminated for violation of these Terms, you will not receive a refund for any unused subscription period, except to the extent a refund is required by applicable law or by Paddle's Refund Policy. This does not limit your mandatory consumer rights.

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

11. Intellectual Property Rights

Our Content: The Service, including all software, text, graphics, logos, audio, and user interface, is owned by Twin Palms Advisors Co., Ltd. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content: You retain ownership of content you upload to the Service (PDFs, personal notes, etc.). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your content as needed to provide the Service to you.

Use of Derived Excerpts, Outputs, and Usage Data to Improve the Service: You also grant us the right to use short text excerpts derived from your content (such as individual extracted vocabulary items and brief example phrases), the outputs generated for you, and aggregated data about how you use the Service, to operate, develop, and improve our products and to develop, train, and improve our own models, algorithms, and learning systems. We do not train our models on your raw uploaded documents, and we do not use the data of users located in the EEA or the UK for this purpose, as described in our Privacy Policy. Where this information identifies you, we use it in de-identified or aggregated form, and you may have rights to object as set out in the Privacy Policy. This right survives termination with respect to de-identified and aggregated data already derived.

LLM-Generated Content: Vocabulary extractions and other content generated by our AI/LLM systems are provided to you for your personal use. You are responsible for ensuring your uploaded PDFs do not infringe third-party copyrights.

12. Disclaimers

IMPORTANT: PLEASE READ CAREFULLY

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

No Guarantee of Learning Outcomes: While we design our Service based on research-backed pedagogical principles, we make no guarantee that you will achieve specific language learning outcomes or fluency levels.

LLM/AI Accuracy: Our Service uses AI/LLM technology to extract vocabulary from PDFs. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You should independently verify vocabulary definitions and translations.

Service Availability: We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may experience downtime for maintenance, updates, or technical issues.

Third-Party Content: We are not responsible for the accuracy, legality, or appropriateness of content you upload or content provided by third-party services.

13. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAMKHAM (TWIN PALMS ADVISORS CO., LTD.) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

This includes, but is not limited to:

  • Loss of profits, data, use, or goodwill
  • Service interruptions or downtime
  • Errors or inaccuracies in AI-generated content
  • Unauthorized access to your account or content
  • Any conduct or content of third parties

Maximum Liability: In no event shall our total liability to you for all damages exceed the amount you paid for the Service in the 12 months preceding the claim, or $100 USD, whichever is less.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability that cannot be excluded under mandatory consumer-protection law in your country of residence. These disclaimers and limitations apply only to the extent permitted by applicable law and are without prejudice to the purchase rights you have against Paddle as merchant of record.

14. Indemnification

You agree to indemnify, defend, and hold harmless JamKham and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Content you upload to the Service
  • Your violation of any rights of third parties, including copyright infringement

15. Third-Party Services

Our Service integrates with and relies on third-party services, including:

  • LINE Corporation: Social login authentication (LINE Login)
  • Google: Social login authentication (when enabled) and Text-to-Speech for audio pronunciation
  • Paddle: Merchant of record and authorised reseller for purchases outside Thailand (payment processing, tax, billing, and refunds)
  • Tembusu Ventures LLC: Authorised reseller for sales outside Thailand (in the chain from Paddle to Twin Palms), and provider of hosting, support, and marketing services
  • OpenAI/Anthropic: AI/LLM services for vocabulary extraction
  • Maileroo: Email delivery service
  • Cloudflare Turnstile: CAPTCHA and bot protection

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or performance of these third-party services.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to your registered email address
  • Displaying a prominent notice within the Service

Material changes will take effect 30 days after notice is provided. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles, and the courts of Bangkok, Thailand shall have jurisdiction, subject to the consumer carve-out below.

Consumer rights carve-out: If you are a consumer, nothing in this Section deprives you of the protection of the mandatory consumer-protection laws of your country of residence, and you may be entitled to bring proceedings in the courts of that country. Your purchase contract with Paddle is governed by Paddle's own terms, which likewise preserve your mandatory consumer rights.

Any dispute between you and Twin Palms arising out of or relating to these Terms or the Service that is not subject to mandatory local consumer law shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that (a) either party may seek injunctive relief in court for intellectual property violations, and (b) consumers retain any non-waivable right to bring or participate in proceedings in their local courts.

18. General

Entire Agreement: These Terms, together with the Privacy Policy and any terms presented at checkout (including Paddle's Buyer Terms and Refund Policy for your purchase), constitute the entire agreement between you and Twin Palms regarding the Service and supersede any prior agreements on that subject.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing to be effective.

Assignment: You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

Force Majeure: We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or power outages, or failures of third-party services or suppliers.

Relationship of the Parties: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Twin Palms.
